Terms & Conditions
How we work together.
These terms govern engagements with AriaByte SRL. The specific scope, pricing, and deliverables of each engagement are defined in the individual service agreement, which prevails over these general terms where they conflict.

Payment Terms
Payment for services provided by AriaByte is due upfront. Installment-based arrangements may be agreed on a case-by-case basis. All invoices are payable within thirty days of the invoice date unless otherwise agreed in writing.

Intellectual Property Rights
Unless otherwise agreed, all solutions, algorithms, and technologies developed by AriaByte remain the intellectual property of AriaByte. Client data remains the property of the client. The client grants AriaByte a non-exclusive, worldwide, royalty-free license to use its trademarks, service marks, and trade names for the purpose of performing the agreed services.

Confidentiality
Both parties commit to maintaining strict confidentiality over all data and information exchanged during the engagement. Neither party may disclose confidential information without the prior written consent of the other.

Data Protection and Security
AriaByte upholds high standards of data protection and takes appropriate precautions to safeguard client data. Personal data is processed in accordance with applicable data protection law.

Late Payment
In the event of late payment, an interest rate of ten percent is applied from the invoice due date without prior notice. This applies reciprocally to both parties. If not specified in an agreement, statutory interest applies from the thirty-first day after the invoice due date.

Retention of Title
AriaByte retains ownership of any product or solution delivered until the corresponding invoice has been paid in full.

Delivery and Transfer of Risk
Ownership and risk transfer to the client upon delivery, or upon the completion of the service. Specifics are defined in the individual engagement agreement.

Cancellation and Returns
Cancellation and return conditions are defined in the individual engagement agreement.

Defective Products
If a delivered solution is found to be defective, AriaByte will review the matter and propose remedies in line with the terms of the individual engagement agreement.

Jurisdiction and Applicable Law
Any dispute arising from this agreement is settled in the courts of Brussels and governed by Belgian law.

Limitation of Liability
AriaByte's liability under any engagement is limited to the value of the corresponding contract. Exceptions, if any, are defined in the individual engagement terms.

Processing of Personal Data
AriaByte collects personal data for the purposes of order processing, service delivery, and marketing. Data retention practices comply with applicable data protection regulations.

Acceptance and Enforceability
These terms become binding once the client has acknowledged and accepted them prior to the start of an engagement. Acceptance may be given by signature, by checking an 'I accept' box for online transactions, or by any other documented means of agreement.

Service Level Agreement
Specific service levels, including response times, uptime guarantees, and other operational metrics, are defined in the individual engagement agreement.

Updates and Modifications
AriaByte may periodically update or modify its services. Clients will be notified of any significant change that may affect their use of the service.

Termination
Either party reserves the right to terminate the agreement under the conditions defined in the individual engagement agreement. Upon termination, the client remains responsible for paying for all services rendered up to the date of termination.

Force Majeure
Neither party is liable for any failure or delay in performance caused by circumstances beyond reasonable control, including but not limited to acts of nature, government action, flooding, fire, earthquakes, civil unrest, terrorism, labor disputes, or internet service failures.

Entire Agreement
This agreement constitutes the entire understanding between the parties and supersedes all prior agreements, proposals, or representations, whether written or oral, concerning the same subject matter.
